The Constitution of Quinssa
Name
1.The Name of the Association is Quins Supporters Association (hereinafter called “the Association”)
Objects
2. To support the activities and enterprises of the Harlequin Football Club (hereinafter called “the Club”) both on and off the field; to promote and facilitate the interest and activities of members of the Association in their support for the Club; to represent the interests of its members to the Club.
Membership
3. Membership shall be open to such persons as shall support and seek to further the objects of the Association. Membership shall commence upon the completion of the membership application and payment of the annual subscription. The membership year shall run from 1 August to 31st July
Officers & Committee

(a) The affairs of the Association shall be managed by the Officers and Committee. The Officers of the Association shall be the Chairman, the Secretary and the Treasurer. The members of the Committee shall be the Officers and not more than 4 other members
(b) The business of the Committee shall not be transacted unless it is quorate and a meeting of the Committee shall only be quorate if one of the Officers of the Association is present together with three other of the Officers or Committee members.
(c) Notice of the time and place of each meeting shall be given by the Secretary to all Officers and Members of the Committee at least seven days prior to the date of the meeting
(d) In the event that one of the Officers shall resign or otherwise become permanently unavailable to continue, the Committee shall elect one of their members to perform the role. However, no Officer may hold more than one Official role at any one time.
(e) From time to time, the Committee may ask individual Members of the Association to take specific roles in organising or helping to organise events, activities, etc. The Committee shall be empowered to invite such people to Committee meetings to participate in discussions on the activity but they shall not have any decision making power at Committee.
Annual General Meeting

(a) An Annual General Meeting shall be held after the end of the Club season, and before 31 July each year. At least twenty-one clear days’ notice shall be given to all members of the Association of the date, time and place of such meeting. The purpose of the meeting shall be to transact the business of the Association including the approval of the Accounts for the year then past and to elect up to seven Members of the Committee including the Officers and to appoint Auditors.
(b) In the event that there is no nomination for one of the Officer positions, the Committee shall elect that Officer at their first meeting after the AGM in line with the provisions of paragraph 4 (d).
Elections
6. All Officers and Members of the Committee shall retire at the Annual General Meeting, but shall be eligible for re-election. Nomination for any office must be made in writing and on the form attached to the notice of meeting and delivered to the Secretary seven clear days prior to the date of the meeting, signed by the proposer and seconder and with the signed consent to serve of the nominee.
Subscriptions
7. The Committee shall from time to time fix the amount of an annual subscription payable for membership of the Association. The subscription shall become due and payable on 1st August in each year for membership year then ensuing. Any member whose subscription remains unpaid on 1st October may be removed from membership.
Special General Meeting
8. The Committee, at any time, on its own authority or upon receipt of a written application signed by not less than fifteen members setting out the reason for such meeting, shall call a Special General Meeting and must, within 14 days of receipt of the application, serve notice of such meeting giving the date, time and place thereof together with a copy of the Agenda.
Quorum
9. At any General Meeting fifteen members shall form a quorum.
Voting
10. Only members whose current subscription has been paid may vote at any General Meeting. Save as provided by paragraphs 12 hereof the result of a vote at a General Meeting shall be decided by a simple majority of the votes given, either by show of hands or on a secret ballot. The chairman of the meeting shall be entitled to a second or casting vote in the event of a tied result.
Discipline
11. If any member be alleged to have brought the Association into disrepute or to have behaved in a manner unbecoming to a member of the Association then the Committee shall have the power to suspend the membership of such member. At least 14 days prior to any meeting of the Committee at which any action in relation to such allegation is to be determined, notice of the allegation and the meeting shall be given to the member and he shall be given the opportunity to make representations in writing and in person before any determination by the Committee. Any decision shall be effected only by a resolution passed by the votes of two-thirds of the membership of the Committee present and voting, and such decision shall be binding on that member. Members suspended may subsequently have their membership terminated only at the next General Meeting by a majority vote of all members present and voting.
Alterations to the Rules
12. These Rules may only be amended altered or rescinded by a Special Resolution at a General Meeting passed by a two-thirds majority of the members present and voting. Notice of the proposed alterations to these Rules must be given in the Notice of Meeting.
Dissolution
13. The Association may only be wound up by the passing of a Special Resolution at a General Meeting called for that purpose and by a resolution supported by at least 75% of the members of the Association. In the event of such dissolution the remaining funds and assets of the Association shall be distributed to any charity connected with game of Rugby Union selected by the Committee
